XPASS TERMS & CONDITIONS

These Terms & Conditions (“Terms”) govern your access to and use of the Xpass mobile application and related services (“App”, “Platform”).

The App is owned and operated by Darb Al Tibana For Software Development Co. LLC, a company registered in the Hashemite Kingdom of Jordan under Registration No. 78252 and National Entity No. 200208005, with its registered office in Amman, Jordan (“Company”, “we”, “us”, or “our”).

By creating an account or subscribing to Xpass, you agree to be bound by these Terms.

If you do not agree, you must not use the App.

1. DESCRIPTION OF SERVICEX

pass is a digital fitness subscription platform that provides users with access to participating gyms and fitness studios in Jordan through a single membership.

The service includes:

●QR-based gym check-in

●Tier-based access

●Monthly visit limits

●Subscription management

●Partner gym discovery

Xpass does not own, operate, or manage any gym or fitness facility.

All partner gyms are independent third-party service providers.

2. ELIGIBILITY

By using Xpass, you represent that:

●You are legally capable of entering into binding contracts.

●All information you provide is accurate and truthful.

●You will comply with these Terms and all applicable laws.

Xpass is not intended for children under 13 years of age.

3. SUBSCRIPTION PLANS

Xpass offers the following subscription durations:

●1 Month

●3 Months

●6 Months

●12 Months

Each subscription:

●Does NOT auto-renew

●Expires automatically at the end of the selected term

●Must be repurchased manually to continue service

Xpass offers four tiers:

●Silver

●Gold

●Diamond

●Elite

Each tier determines gym access level and availability.

4. MONTHLY VISIT LIMIT

Each active subscription includes:

●Up to 30 visits per calendar month

●Maximum of one visit per day

Unused visits:

●Expire at the end of each month

●Do NOT roll over

●Cannot be exchanged or refunded

5. PAYMENTS

All payments are processed securely through Network International (MPGS –Mastercard Payment

Gateway Services).

We do not store full card details.

By subscribing, you agree to:

●Pay the full subscription fee upfront

●Authorize the payment processor to charge your selected payment method

Payment is required before access is granted.

6. NO REFUND POLICY

All subscription purchases are final.

Xpass operates a strict no refund policy, including but not limited to:

●Unused visits

●Change of mind

●Medical reasons

●Relocation

●Inability to attend gyms

Refunds will only be issued if required by applicable law.

7. GYM ACCESS & USER CONDUCT

You agree:

●Users must scan the official QR code displayed by the partner gym using the Xpass mobile

application to complete a valid check-in.

●Not to attempt fraudulent access

●To comply with gym rules and staff instructions

Violation may result in suspension or termination of your account.

8. ACCOUNT SUSPENSION &

TERMINATION

We reserve the right to suspend or terminate your account without notice for:

●QR code sharing

●Fraudulent activity

●Abuse of the platform

●Chargeback abuse

●Misconduct at partner gyms

●Violation of these Terms

Suspension may result in loss of remaining subscription access without refund.

9. HEALTH & LIABILITY DISCLAIMER

You acknowledge and agree:

●Participation in fitness activities involves inherent risks

●You participate at your own risk

●You are responsible for consulting a medical professional before engaging in physical exercise

Xpass is not responsible or liable for:

●Injury

●Illness

●Death

●Loss or damage of personal property

●Negligence of partner gyms or their staff

Partner gyms are independent third parties, and Xpass does not control their operations.

To the fullest extent permitted by law, Xpass disclaims all liability arising from your participation in

fitness activities.

10. THIRD-PARTY GYMS

Partner gyms:

●Are independent businesses

●Set their own rules and policies

●Are responsible for their facilities, staff, and safety standards

Xpass is a technology platform that facilitates access only.

We do not guarantee:

●Gym availability

●Specific equipment

●Class schedules

●Facility conditions

11. INTELLECTUAL PROPERTY

All content, branding, logos, software, and design elements of Xpass are the property of Darb Al

Tibana For Software Development Co. LLC.

Unauthorized use is strictly prohibited

12. MARKETING COMMUNICATIONS

Users may receive promotional communications only if they opt-in within their profile settings.

Users may withdraw consent at any time.

13. FORCE MAJEURE

Xpass shall not be liable for failure to perform due to events beyond its reasonable control, including

but not limited to:

●Government restrictions

●Pandemics

●Natural disasters

●Technical infrastructure failures

14. LIMITATION OF LIABILITY

To the maximum extent permitted by law: Xpass shall not be liable for any indirect, incidental, special,

or consequential damages arising from:

●Use of the App

●Gym attendance

●Service interruptions

●Third-party actions

Our total liability shall not exceed the amount paid for the active subscription.

15. GOVERNING LAW & JURISDICTION

These Terms are governed by the laws of the Hashemite Kingdom of Jordan.

Any disputes shall be subject to the exclusive jurisdiction of the courts of Amman, Jordan.

16. MODIFICATIONS

We may update these Terms at any time.

Continued use of the App after updates constitutes acceptance of the revised Terms.
